FRAMEWORK PAYMENT AND ELECTRONIC MONEY SERVICES USER AGREEMENT

1. PARTIES + -

This Framework Payment and Electronic Money Services User Agreement (“ Contract ” ); It is concluded between the YEMEKPAY defined below and the USER.

This Agreement will enter into force with the approval granted online by the USER and the USER, It acknowledges that the use of payment and electronic money services provided by YEMEKPAY is subject to this Agreement and the terms and conditions contained in its annexes, if any.

Under this Agreement, the USER and MEALING together will be referred to as “ Parties ”, separately “Taraf ”.

2. DEFINITIONS + -

Buyer: Subject to payment and/ or Electronic Money transaction Real or legal person requested to reach the Fund,

Call Center: USER's MEALPAY Customer Service call center, where it can transmit complaints, requests and suggestions via the phone line [ ] / P<

Electronic Money: Fund accepted by YEMEKPAY issued, stored electronically, Monetary value used to perform Payment Transactions defined in the Law and accepted by real and legal persons other than YEMEKPAY,

Electronic Money Account: Accounts where the exported Electronic Money is monitored and kept under the USER basis,

Fund: Banknote, coin, registered money or electronic money,

Sender: Real or legal person who issued a Payment Order from or without a Payment Account,

Sensitive Payment Data: Password, security question, certificate, used in the issuance or authentication of the Payment Order, which may allow fraud or fraudulent action if it is seized or changed, personal security information regarding the Payment Tool such as PIN, card number, expiration date, card security code with encryption key,

Carpet or Unauthorized Transaction: Will of the USER of all or part of the transfer order and/or Payment Transaction performed as a result of sending or transfer orders other than its knowledge by a third party who is not authorized to issue, and / or the USER does not receive the relevant goods or services,

3. THE SUBJECT OF THE AGREEMENT + -

3.1. The subject of this Agreement is to regulate the scope of the Payment Services to be submitted to the USER by YEMEKPAY and the rights and obligations of the Parties within this scope. Payment Services to be submitted to the USER under this Agreement will be available through the Marketplace.

4. BASIC RIGHTS AND OBLIGATIONS OF THE PARTIES + -

4.1. USER declares that it is ehil to conclude this Agreement and acts on its own behalf and on its own account. The USER acknowledges that if there is no ergin or for sair reasons, it may be subject to additional verification, approval and processes. In this context, in cases where the USER is not ergin, approval will be obtained from the legal representative of the USER before the first issuance of prepaid vehicles and the opening of electronic money accounts in accordance with this contract. If he wishes, he may request additional information and documents from the USER about himself or his legal representative. In cases where the USER is not a teenager, access will also be provided to the legal representative who has been approved under this article, if requested, to implement practices that offer the opportunity to track the expenditures made with the Electronic Money Account, which is the subject of this contract. This opportunity, which is offered to the legal representative, will end with the USER reaching the tilt.

4.2. USER, as a minimum, name surname, T.C. to benefit from the services provided under this Agreement. It is obliged to present all information requested by YEMEKPAY, including identification number and address information. The USER undertakes that all information and documents it provides to YEMEKPAY are accurate, current and complete. YEMEKPAY may take various verification measures to ensure the accuracy and timeliness of the information provided by the USER in accordance with Law No. 6698.

4.3. USER, the information and documents requested by YEMEKPAY directly or Member Office and/ to be available to the Payment Services/or that it has to present it to YEMEKPAY through the Marketplace, if necessary, the information contained in its payment service provider and transferred from the payment service provider to YEMEKPAY during the payment process can be used for authentication purposes, accepts and declares that the request to be a USER may be rejected, suspended and canceled if these information and documents are not compatible with each other and do not comply with the conditions set by the legislation. USER, these information and documents by YEMEKPAY, mail, fax, e-mail and in-line video call-like methods, It acknowledges that it can be provided by a central structure suitable by the CBRT or other innovative methods suitable for the technology of the day, and that it will fulfill its relevant obligations in accordance with these methods.

4.4. USER, acting on someone else's account and/or identity, undertakes that if the subject information changes to communication and other identification, it will promptly notify YEMEKPAY in writing in accordance with the relevant legislation, including Law No. 5549. YEMEKPAY may request identification and/ or information for the USER in accordance with this or for sair reasons.

4.5. YEMEKPAY is specific to the USER for the services it will benefit under this Agreement, it will provide a unique identity identifier and the same identity identifier cannot be identified to another user and/or customer unless 10 (on) years have passed since the Agreement expires.

4.6. USER agrees and undertakes that it will benefit from the services covered by the Convention in accordance with the legislation, including but not limited to Law No. 6493. YEMEKPAY may suspend the USER's Payment Account, temporarily or continuously, if the USER detects or strongly suspects its activities contrary to this Agreement or legislation.

4.7. The rules and service fee lists to be published on the website are an integral annex to this Agreement.

4.8. Apart from those specified in this Agreement, YEMEKPAY has the right to make unilateral changes and updates to the Payment Services, the Website and the Agreement. These amendments are the amendments to be made within the scope of the obligations determined by the in-house legislation and the contracts concluded with the third parties in the Member Workplace position where YEMEKPAY has agreed to submit the Payment Services or the amendments to be made within the scope of this contract, If this will cause a change in the terms of this Agreement, the scope of the change 30 (otuz) days before the relevant change takes effect, A notification will be made containing the effective date and information that the USER can terminate the Agreement without any fees. In this case, the USER who does not want to accept the amendment will be able to terminate the Agreement. If the USER does not report to him within 30 (otuz) days after notification, the relevant amendment will be deemed accepted. If any changes required under the legislation are given less than 30 (otuz) days in the relevant legislation, this will be specified in the notification to be sent to the USER and the period stipulated by the legislation will be applied instead of the period specified in this article.

5. BASIC PROVISIONS ON PAYMENT SERVICES + -

General Principles on Payment Services

5.1. Payment Services subject to this Agreement will be provided in Turkish Lira. If the USER is offered Payment Services with foreign currencies, the exchange rate to be applied - the currency translation methods will be determined by YEMEKPAY.

5.2. Payment Services can only be used by the USER in payment transactions before Marketers or contracted Member Workplaces that directly sell their goods and services in their own assembly.

5.3. USER agrees and declares that its responsibility arising from the inaccuracy or lack of information it provides or its failure to properly fulfill its obligations under the Payment Transaction.

5.4. USER agrees that it must open an Electronic Money Account before YEMEKPAY in order to benefit from Payment Services.

5.5. Payment Services; It can be realized from the interfaces provided by YEMEKPAY, Member Workplace or Marketplace or through integrations in these areas, The USER acknowledges and declares that compliance with the technical and other features contained in the terms of use of these areas must be ensured.

5.6. YEMEKPAY, the information stipulated by the legislation regarding the Payment Services, the e-mail address of the USER in this Agreement, It transmits immediately after processing using one of the contact information such as GSM number. The USER will report the following information regarding the payment transactions made within the scope of the Payment Services, where the USER acts as the sender, to the USER immediately after the sender's payment account is debited: (i) Reference information specific to the payment transaction and information about the Buyer, (ii) The amount of the payment transaction in the currency in which the USER's payment account is debited or the currency specified in the payment order, (iii) Breakdown of the total fees and fees payable by the USER for the payment transaction, (iv) Exchange rate information applied in the payment transaction, if any, and the amount of the payment transaction calculated using this exchange rate, (v) Information on the date when the payment order was received or the account of the USER was debited. YEMEKPAY will report the following information regarding the payment transactions made within the scope of the Payment Services, where the USER acts as a buyer, to the USER after the payment is made: (i) The information that must be provided by the USER in order to carry out the Payment Transaction or the password that provides this information, the amount of the payment account of the (ii) Payment Transaction in the currency to which the payment account is credited, (iii) Breakdown of the total fees and commissions to be paid, (iv) Exchange rate or reference exchange rate applied to the payment transaction, (v) Information on the date when the payment amounts are made available to the USER. If requested by the USER, these information will allow the information to be stored and used unchanged, without any fees, It can be done with the methods to be determined by YEMEKPAY and at regular intervals to be decided at least once a month.

General information to be made by

5.8. YEMEKPAY will not operate interest in favor of the USER in the amounts collected under the Agreement and Electronic Money, it will not provide interest depending on the duration, lending, installment, will not carry out activities that would mean payment or payment guarantee for amounts that cannot be collected.

5.9. USER agrees that it cannot operate on the transaction limit set by YEMEKPAY under the Agreement. If the transactions made in the one-time and monthly total to be made under this Agreement are the transaction limit, they will be determined by YEMEKPAY and published on the Website, limits can be revised unilaterally by YEMEKPAY at any time. If the raising of the transaction limit is requested by the USER, YEMEKPAY one-time and/or may request a fee to be specified on the Website to raise the transaction limit set for monthly total transactions and require the necessary authentication processes under Law No. 5549.

If

5.10. USER pays the fund by credit card under the Payment Scheme, the relevant fund can only be withdrawn by transmitting it to the same credit card account. In the event that the credit card of the USER has been canceled before the refund, the repayment of the fund can also be made to a payment account opened on behalf of the fund-deposit USER. The USER agrees that if a payment account opened on his behalf is paid, additional information and documents may be requested and additional processes may be applied by YEMEKPAY.

Transmission of Payment Order

5.11. USER may issue the Payment Order for the Payment Transaction and its approval from the interfaces provided by YEMEKPAY or the Marketplace or through integrations in these areas.

5.12. The moment the Payment Order is transmitted to YEMEKPAY, it will be accepted as the moment the Payment Order is received, and if it is decided to perform the Payment Transaction on a certain day, The agreed day for the Payment Transaction, the date of receipt of the order is accepted.

5.13. Approval for the Payment Order and Payment Order can be issued before or after the Payment Transaction takes place. USER's approval for the Payment Order will be explicitly given (sarahaten) and implicit (susma, non-objection, icazet and sair implicitly ) acceptance will not be accepted as Payment Transaction approval.

5.14. USER, Payment Order can be transmitted until 23:59 ’ except holidays, accepts and declares that the Payment Order, which arrives later, will be deemed to have been received by YEMEKPAY the next business day.

5.15. USER will be able to withdraw the transaction until the payment transaction is made after authorizing YEMEKPAY for the Payment Transaction.

5.16. YEMEKPAY Payment Order, with the registration of the Payment Order no later than 1 ( a ) day before, on the date of payment agreed with the USER, In cases where the payment date is not agreed with the USER, it will be made within 4 ( four ) business days from the date the Payment Order reaches YEMEKPAY.

5.17. YEMEKPAY, if it refuses to fulfill a Payment Order, Call center, internet, from the GSM number, e-mail address or alternative channels (, which the USER has specified in this Agreement and its annexes, in writing, or how the errors that cause rejection, if any, can be corrected, mobile vs. ) notifies the USER as soon as possible and in any case by the end of the working day following the receipt of the Payment Order at the latest. If the refusal is based on a justified reason, the USER agrees and declares that YEMEKPAY has the right to accrue a reasonable fee on the Website in accordance with the channel to which the notification will be made.

5.18. is responsible to the USER for the payment of the YEMEKPAY Payment Transaction in accordance with the Payment Order. YEMEKPAY, by transferring the payment transaction amount to the Buyer's payment service provider immediately and in any case by the end of the following business day from the date of receipt of the Payment Order; If the USER is the Buyer, it is obliged to make the Payment Transaction amount available to the USER immediately and at the latest following the transfer of the relevant amounts to YEMEKPAY.

5.19. YEMEKPAY if the payment amount subject to the Payment Order is not sent to the Buyer's payment service provider or sent incorrectly by YEMEKPAY, returns the unrealized or incorrect amount to the USER without delay or reinstates the USER's account. If the User requests the reason for the failure or misconduct of the transaction in question from YEMEKPAY, YEMEKPAY does the necessary work to obtain the requested information and notifies the USER of the result it has reached.

5.20. YEMEKPAY is in no way responsible for the transactions of the Buyer's payment service provider against the USER.

5.21. YEMEKPAY, the notification to the USER in case of a justified refusal of the Payment Order, such as the negligence or defect of the USER, the request for the withdrawal of the Payment Order, reserves the right to request the fee specified in the Site if the subject matter to the incorrect Payment Transaction is withdrawn and found for sair cases.

5.22. Marketplace is exclusively authorized to determine the fees for goods and services provided using Payment Services and the conditions for the collection of these fees, agrees that YEMEKPAY has no responsibility for the contractual relationship between these parties. YEMEKPAY has no responsibility for the supply or delivery of goods or services provided by the USER from the Member Workplace and/ or Marketplace using YEMEKPAY services. It is the obligation of the provider of the relevant good or service to ensure that the goods or service comply with the law and morality and that they are fully provided or delivered. THE USER is not a party to YEMEKPAY in any dispute between the provider of the good or service; object to the transaction, request a return on the goods or services, not limited to those listed here, The request, objection, question, problem, which will be born in this context, will directly forward the requests based on the Law on Consumer Protection, the Law on Liabilities and the relevant legislation, including the claim of goods or services, accepts, declares and undertakes that YEMEKPAY has no responsibility in cases of complaint and the like. Invoice/ receipt of goods and/ or services purchased by KULLANICI directly on goods and/or the Member providing the service will interrupt the Workplace and/or Marketplace, and the USER agrees that there is no responsibility for the DINNER in this context. As a rule, the USER will direct requests and complaints regarding the goods or services it provides from the Member Office and / or the Marketplace directly to the Member Workplace, which is the provider of the relevant goods or services. Within the scope of this article, the USER shall submit any requests, objections, questions, problems, complaints, etc. to YEMEKPAY regarding the provision or delivery of goods or services. the notification will be directed to the relevant person and this request, objection, question, problem, complaint, etc. It acknowledges that there is no responsibility for YEMEKPAY in relation to the removal of the notification. The rules stipulated by the Member Workplace and/or Marketplace in the position of the provider of the relevant good or service regarding the return of the goods or services provided and their return shall apply.

5.23. USER, the interest accrued by the Buyer in accordance with the legislation can also be paid through the Payment Services, It agrees that the Payment Account of the USER can be debited as much as the relevant amount, based on the Buyer's instruction in this direction.

Carpet/Unauthorized Transactions

5.24. USER; By securely protecting the Payment Account, the Payment Tool and its password, the Sensitive Payment Data and taking all measures to prevent this information from being used by others; The realization of an event that caused the payment agent to be suspected of fraudulent and unauthorized use, the loss of the Payment Instrument, If it is stolen and finds out that it has been processed outside of its will, it is obliged to immediately notify YEMEKPAY's call center 02127065445 or the e-mail address to be published on the Website. USER, the use of the payment interface, the Payment Tool, the Sensitive Payment Data and/or USER name and password by people who are not authorized without any defects of the DINNER; and/or agrees that it will be responsible as set out in this Agreement for damages that may arise due to its use outside the purpose provided. If these cases are determined by YEMEKPAY, YEMEKPAY is obliged to suspend or close the use of the Payment Tool and inform the USER regarding the reason for the suspension/ closure.

5.25. YEMEKPAY opens the Payment Tool to use if the USER notifies him that the reason for the closure of the Payment Tool has disappeared.

5.26. If the relevant transaction price has been transferred to the Buyer or Buyer's payment service provider as of the date of notification, YEMEKPAY transfers these amounts to the USER by requesting the return of the relevant amounts from the Buyer or Buyer's payment service provider. If the requested return is not made to YEMEKPAY from the Buyer or Buyer's payment service provider, YEMEKPAY cannot be requested to transfer the relevant price to the USER.

5.27. USER is obliged to notify YEMEKPAY from the date of its learning, which it does not authorize or have been made incorrectly. The request for correction cannot exceed thirteen (13) months from the payment in any case

5.28. If the transaction is found to be unauthorized or performed incorrectly, YEMEKPAY immediately returns the incorrect amount for the transaction to the USER or reinstates the USER's Payment Account. If the relevant transaction price has been transferred to the Buyer or Buyer's payment service provider as of the date of notification, YEMEKPAY transfers these amounts to the USER by requesting the return of the relevant amounts from the Buyer or Buyer's payment service provider.

5.29. Loss of Payment Tool and/or password information, If it is stolen or used outside of will, it is responsible for the portion of the loss arising from the payment transactions that the USER did not authorize within twenty hours prior to the notification to YEMEKPAY regarding unauthorized or fraudulent use, up to 250 ( minor ) Turkish Lira. The USER will not be responsible for the unauthorized payments that occur after its notification. In cases where the USER uses the Payment Tool fraudulently and does not fulfill its obligations envisaged here, deliberately or with gross negligence, the USER is responsible for all damages caused by this reason, without being limited to any time and fee.

5.30. If a justified opinion regarding the existence of the Sender's unauthorized transaction occurs, the payment may not be accepted if the Sender's authorizations are examined and fraudulent action is suspected. The Sender or the USER who is in the Buyer position will not have any right to request in this case.

5.31. Amount related to the transactional loss of YEMEKPAY if the price is withdrawn from the Buyer and/or Buyer's payment service provider due to incorrect and unauthorized transactions, it can be offset from the price received without the need for any permission and notification.

Refund in Buyer-Started Payment Transactions

5.32. The request is made within 2 (iki) months from the date of the relevant payment transaction, In the payment transaction authorized by the Buyer or initiated through the Buyer, the amount related to the payment transaction during the authorization is not fully specified and the payment transaction amount realized, the spending history, If it exceeds the foreseen amount, taking into account the terms of the contract and other relevant issues, it may request a refund of the amount of the payment transaction and the record that the relevant good or service has not been consumed. In this case, YEMEKPAY may request the USER to provide factual evidence of his request. In the event that such evidence is not provided or the evidence presented is not sufficient by YEMEKPAY, reimbursement may be avoided provided that the reasons are reported to the USER. However, in all cases, when the approval regarding the payment transaction is given directly to YEMEKPAY or at least 1 ( one) month before the payment must be made, The USER cannot request any refund for the relevant Payment Transaction. In cases where a refund request can be made pursuant to this article, YEMEKPAY 10 (on) will pay within the working day or, together with the reasons for the rejection decision, will notify the USER by showing the legal means that the USER can apply.

6. BASIC PROVISIONS ON ELECTRONIC MONEY + -

6.1. 7. ESTABLISHING THE CONTRACT WITH REMOTE COMMUNICATION TOOLS + -

9. DURATION AND TERMINATION OF THE AGREEMENT + -

9.1. The contract enters into force on the date of approval by the USER and remains in effect unless terminated.

9.2. This Agreement may always be terminated by the mutual written agreement of the Parties.

10.7. The addresses specified by the parties are the legal notification addresses of the Parties and the notifications made to these addresses will be valid, unless any address changes are notified in writing to the other party.

10.8. An example of this Agreement is given to the USER with a permanent data store following the conclusion of the Agreement or made available to the USER on the Website. If requested by the USER, another copy of the Agreement and its annexes and documents relating to the transactions made are issued for the fees specified in the Website.
